The Constitution and Bylaws
for the Oak Hills Golf Association
PREAMBLE
The primary purpose of this golf association is to promote a tournament program, to provide social and golfing contact among its members and to provide handicaps to help implement such tournaments and activities.
ARTICLE I NAME
The name of this club shall be "Oak Hills Golf Association".
ARTICLE II GENERAL RULES
SECTION I.      THE ORDER OF BUSINESS
At all meetings the order of business shall be as follows:
A.       Reading and approval of the minutes of the previous meeting;
B.       Reports of officers;
C.       Reports of committees;
D.       Old Business;
E.       New Business;
F.       Adjournment
SECTION II.     PROCEDURES
"Roberts Rules of Order, Revised" shall be the final authority as to parliamentary procedure at all meetings of the members, insofar as they do not conflict with any of these bylaws.
SECTION III.    VOTING
All matters to be voted upon shall require a simple majority of those voting for approval unless specified otherwise herein.
ARTICLE III BOARD OF DIRECTORS AND OFFICERS
SECTION I.     BOARD OF DIRECTORS
The Board of Directors consists of up to fifteen (15) members, serving three (3) year terms. In addition, there shall be five (5) officers, elected as specified below, who will also be directors. Any reference in these bylaws to the Board of Directors shall mean the full board of up to twenty (20), including officers.
SECTION II.    ELECTION OF DIRECTORS
One-third (1/3) of the fifteen (15) board members shall be elected each year upon nomination of the membership at large to serve three (3) year terms.
SECTION III.   ELECTION OF OFFICERS
The Board of Directors shall propose to the membership at each fall meeting, a slate of officers consisting of a President, a Vice­President, a Secretary, a Financial Secretary, and a Treasurer.
SECTION IV.    OFFICERS
The officers shall serve for one (1) year or until their successors are elected and in addition to the duties of their office shall have the same rights and obligations as the other elected members of the Board of Directors. Nothing contained in this article shall preclude nominations from the floor of other candidates to serve as officers and directors.
SECTION V.     DUTIES OF OFFICERS
The duties of the officers shall be the usually accepted practices as may be set forth from time to time by the Board of Directors.
SECTION VI. MEETINGS OF BOARD OF DIRECTORS
The Board of Directors shall meet on the first Tuesday of every month or at any other day as fixed by the President, at a time and place to be fixed by the President. Notices of the meeting shall be communicated by phone, mail, email or fax by the Financial Secretary or Secretary to each Board member at least five (5) days prior to the meeting. The President or any three (3) members of the board may call a special meeting of the Board of Directors at any time, provided that the Secretary shall send each director a notice of such meeting stating the business to be brought before the directors, which notice must be provided at least five (5) days prior to said meeting.All meetings of the Board of Directors shall be open to attendance by any member.
SECTION VII.  QUORUM
Eight (8) members, of the full Board of Directors or 40% of a less than full Board shall constitute a quorum at any meeting of said Board of Directors.
SECTION VIII. GOVERNMENT AND MANAGEMENT
Control and management of the affairs, funds, and properties of the club shall be vested in the Board of Directors. All checks, bonds, or contracts necessary for the conduct of the business of the club shall be signed by the Treasurer or the President and countersigned by another officer.
SECTION IX.   INTERPRETATION
The Board of Directors shall interpret these bylaws and the decision of the board shall be final on all questions as to the interpretation of the same.
SECTION X.    VACANCIES
The Board of Directors shall appoint any member of the club in good standing to fill any vacancy which might arise on the Board of Directors, such appointee to complete the term of the director whose vacancy he fills.
ARTICLE IV STANDING COMMITTEES
SECTION I.    TOURNAMENT AND RULES COMMITTEE
The Tournament and Rules Committee shall consist of the Vice President and other members of the Board of Directors or members appointed thereto. The committee shall have charge of all club tournaments and shall encourage interest in tournaments among members. The committee shall keep records of all tournaments, fees collected, and shall set the rules for Association competitions. The committee shall be the final arbiter in all disputes concerning tournaments as per United States Golf Association Rules.
SECTION II.   HANDICAP COMMITTEE
The Handicap Committee shall consist of the club professional and such members of the Board of Directors or members as are appointed. The committee shall at all times keep records and establish handicaps for the members in accordance with the system laid down by the United States Golf Association.
SECTION III.  MEMBERSHIP COMMITTEE
The Membership Committee shall consist of the Financial Secretary, and such other members of the Board of Directors or members as are appointed. Its duties shall be to be active in the solicitation of new members and keep records pertaining thereto.
SECTION IV.   OTHER COMMITTEES
The Board of Directors may form such other committees as are necessary to conduct the business of the club, whether such committees be temporary or permanent.
ARTICLE V FEES AND DUES
SECTION I.    DUES
The dues of this club shall be $55 per calendar year and shall be due and payable by April 1. Dues shall be delinquent beyond April lst of the year for which they are due and an additional $5 shall be payable by such delinquent member. Any member delinquent beyond May 1st shall be automatically dropped from the membership of the Association, and may become a member only by filing an application in the same manner as a new member and by payment of the $5 additional fee.
SECTION II.   CHANGE IN DUES
The Board of Directors shall have the authority to change any fees and annual dues from time to time, provided, however, that if the fees or dues are increased more than forty percent (40%) over the previous year's fees or dues, such change shall require ratification by majority vote of the membership at the annual meeting.
SECTION III.   HONORARY MEMBERSHIP
Honorary membership may be conferred by unanimous approval of the Board of Directors. Honorary membership includes all privileges except voting.
ARTICLE VI MEETINGS
SECTION I.   SEMIANNUAL MEETINGS OF MEMBERSHIP
There shall be semiannual meetings of the member­ship in March and November, or at such other date in the discretion of the Board of Directors, the dates of which are to be fixed by the Board of Directors. The Financial Secretary or Secretary shall communicate in writing to each member in good standing the date, time and place of each semiannual meeting at least ten days prior thereto, and by posting a notice of said meeting at the Oak Hills Golf Course.
SECTION II.   SPECIAL MEETINGS OF MEMBERSHIP
The President or any five (5) members of the Board of Directors may call a special meeting of the full membership, notice of which shall be given as provided in the section immediately preceding. In addition thereto, said notice shall contain a brief description of the business to be transacted at the special meeting.
SECTION III.  CALL OF SPECIAL MEETING BY MEMBERS' REQUEST
Upon petition of at least ten percent (10%) of the club members of this Association in writing, presented to any officer, requesting a special meeting, the Secretary or Financial Secretary shall cause notice to be given to all club members in good standing in accordance with the two preceding articles.
SECTION IV.   QUORUM OF MEMBERSHIP MEETING
No specific quorum is required.
ARTICLE VII MEMBERSHIP
SECTION I.    CRITERIA FOR MEMBERSHIP
The Board of Directors shall from time to time establish criteria for membership.
ARTICLE VIII ORGANIZATION
This Association shall be a non-profit organization, organized solely for the social benefit of its members. This Association shall not be liable to anyone, member or otherwise, for any damage or claim arising out of this club's operation.     Any member applying and being accepted into this Association hereby waives any claims for damage which may exist either during or after the members period of membership, whether or not such claim for damage was caused by negligence or otherwise.
ARTICLE IX AMENDMENTS
These bylaws may be repealed or amended or new bylaws adopted by a two-thirds (2/3) majority of this membership present at a semiannual meeting or any special meeting held for that purpose.
